Articles of Association of the Club des Cent Cols - 10 November 2018

Article 1: Name

An association called the "Club des Cent Cols" has been set up.

Article 2: Purpose

To bring together all those who enjoy mountain biking. To promote mountain biking by organising and supporting it. More generally, to carry out all operations relating directly or indirectly to the name and likely to facilitate its extension or development.

To join the "Club des Cent Cols" association, you must have cycled over at least 100 different passes, including 5 at an altitude of over 2000 metres, and pay a registration fee.
Four categories of members are accepted:

  1. Active members who are not members of the FFCT through the Club des Cent Cols and who have paid their annual subscription.
  2. Active members who are members of the FFCT through the Club des Cent Cols and have paid their annual subscription.
  3. Honorary members, exempt from the 100-pass rule, 5 of which must be over 2000 metres (by decision of the Board of Directors).
  4. Associate members. Associate members must be sponsored by an active member with whom they have a family relationship (spouse, child). They are not subject to the 100-pass rule, 5 of which must be over 2000 metres. Associate membership entitles members to take part in the Association's collective events. Associate members pay an annual fee equal to half the minimum fee for an active member. As they are not active members, they do not have voting rights at General Meetings and cannot be elected as directors.

Article 6: Deregistration

You can leave the association by sending a letter of resignation.
Deregistration from the association is automatic in the event of death.
Members may be expelled from the association in the event of cheating or failure to respect the spirit of the association. Expulsion is decided unanimously by the members of the bureau.

Article 8: The Board of Directors

The association is managed by a Board of Directors made up of 3 members minimum and 11 members maximum, elected for 4 years by the General Meeting. Postal voting and electronic voting are accepted. Members are eligible for re-election.
The Board of Directors chooses from among its members, by secret ballot, an executive committee comprising a President, a Secretary and a Treasurer. These 3 members must be members of the FFCT. A Vice-Chairman, an Assistant Secretary and an Assistant Treasurer may also be elected.
In the event of a vacancy, the Board temporarily replaces its members by co-option. They are replaced definitively at the next General Meeting.

Article 8bis: Board meetings

The Board meets at least once every 6 months, at the invitation of the Chairman or at the request of a quarter of its members.
Decisions are taken by majority vote.
Any Board member who fails to attend three consecutive meetings without apology may be deemed to have resigned.

Article 9: Ordinary General Meeting

The Ordinary General Meeting comprises all paid-up members. It meets once a year in the last quarter of the calendar year, if possible.
Fifteen days before the date fixed, the members of the Association are invited by the Secretary. The agenda is indicated on the invitation and a postal voting form is included.
The Chairman, assisted by the members of the Board, chairs the meeting and reports on the Association's moral situation.
The Treasurer reports on management and submits the balance sheet to the meeting for approval.
The General Secretary presents the annual report.
Board members are replaced every 4 years by secret ballot.
Only written questions received one week before the date of the AGM will be answered at the meeting.

Article 10: Extraordinary General Meeting

If necessary, or at the request of half plus one of the paid-up members, the Chairman may call an Extraordinary General Meeting in accordance with the formalities set out in Article 9.

Article 11: Internal regulations

Internal regulations may be drawn up by the Board of Directors for approval by the General Meeting.

Article 12 and last: Dissolution

Should dissolution be envisaged, it will be submitted by the Board of Directors to the Fédération Française de Cyclotourisme for approval. If the latter refuses, the Federation will take over the management of the "Club des Cent Cols" association.
